Commercial litigation is the resolution of disputes between businesses, and between businesses and the people who own, finance or supply them. In the Ontario Superior Court of Justice that includes breach of contract and warranty claims, shareholder oppression and derivative proceedings, partnership and joint venture disputes, franchise claims under the Arthur Wishart Act (Franchise Disclosure), 2000, disputes over asset and share purchase agreements, secured lending enforcement, breach of confidence and misuse of confidential information, inducing breach of contract, civil fraud and conspiracy, and claims against directors and officers.
What distinguishes commercial litigation from other civil work is not the law but the economics. The parties are usually solvent, sophisticated and repeat players, the documents are voluminous and largely electronic, the sums in issue are significant, and both sides are making a continuing commercial judgment about whether to keep funding the dispute. A commercial litigator who cannot give you a defensible budget and a realistic settlement analysis is only doing half the job.
Franchise disputes deserve separate mention because the statutory framework is unusually favourable to franchisees. The Arthur Wishart Act imposes a duty of fair dealing on each party to a franchise agreement, including a duty to act in good faith and in accordance with reasonable commercial standards, and gives a franchisee a right of action for damages against a franchisor that breaches it. It also confers a statutory right of rescission where the franchisor failed to provide a disclosure document that complies with the Act, and the remedies on rescission are prescribed and substantial. Franchise claims are therefore often stronger than the underlying contract would suggest.
The other distinguishing feature is timing. In many commercial disputes the decisive step happens in the first few weeks: freezing an asset, obtaining a certificate of pending litigation, securing an interlocutory injunction, or simply getting to the counterparty before it restructures itself out of reach. The Toronto Region of the Superior Court of Justice maintains a Commercial List, a specialised docket managed by judges with commercial experience and governed by its own practice direction. Proceedings eligible for the Commercial List include applications and motions under the Business Corporations Act (Ontario) and the Canada Business Corporations Act, the Bankruptcy and Insolvency Act, the Companies' Creditors Arrangement Act, receivership applications, and other commercial matters the court accepts as appropriate.
The practical advantages are scheduling and judicial familiarity. Urgent matters can often be heard more quickly, case management is more active, and the court expects counsel to cooperate on timetables and to raise scheduling issues at nine-thirty appointments rather than by formal motion. The corresponding expectation is a higher standard of preparation and a genuine commitment to proportionality. Not every commercial dispute belongs there; a straightforward collection claim does not, and attempting to place one there wastes both time and credibility.
Forum affects timing, cost and the procedural tools available. Superior Court ordinary procedure, Rule 76 simplified procedure, the Commercial List, Small Claims Court and private arbitration all produce different timelines and different cost profiles for the same underlying dispute. That choice should be made deliberately at the outset, not by default.
Many commercial agreements contain an arbitration clause, and where one applies a court action will generally be stayed under the Arbitration Act, 1991 or the International Commercial Arbitration Act, 2017. The decision between the two forums is often made years earlier at the drafting stage, but it drives everything that follows.

Arbitration is often assumed to be cheaper. It is not automatically so: the parties pay for the arbitrator and the venue, and a poorly drafted clause can generate satellite litigation about the clause itself. Its genuine advantages are confidentiality, control over the identity of the decision maker, and finality. Its genuine disadvantages are limited appeal rights and the difficulty of bringing in third parties who are not signatories.
In a commercial action the largest costs are documentary discovery and examinations. Rule 30 requires disclosure of every relevant document in a party's possession, control or power, and in a modern business that means email archives, shared drives, messaging platforms and accounting systems. Rule 29.1 requires the parties to agree on a discovery plan, and Rule 29.2 sets out the proportionality factors the court applies when deciding whether a particular disclosure demand is justified, including the time and expense involved and whether the information is available from another source.
Negotiating a sensible discovery plan early, with agreed custodians, date ranges and search terms, is the single most effective cost-control measure in commercial litigation. The alternative, in which each side demands everything and objects to everything, produces refusals motions that cost more than the documents are worth. Rule 31.05.1 caps oral examination time per party absent consent or leave, which further rewards focused preparation.
The second cost lever is early disposition. Rule 21 can determine a question of law raised by a pleading before trial, which is valuable where the dispute is genuinely about the meaning of a contract or the availability of a cause of action. Rule 20 summary judgment allows the court to grant judgment where there is no genuine issue requiring a trial, using the enhanced powers in Rule 20.2.1 to weigh evidence and draw inferences. In Hryniak v. Mauldin the Supreme Court of Canada held that summary judgment should be used to provide a proportionate, more expeditious and less expensive means of achieving a just result. In document-driven commercial cases that route is frequently available.
The third lever is Rule 49. An offer to settle made early and left open shifts costs risk onto the other side for the entire remaining life of the proceeding. Even where an offer is not accepted, its existence changes the way the opposing party's counsel must advise their client, because the downside of continuing has become quantifiable.
Civil fraud claims sit at the sharp end of commercial litigation. The elements are a false representation, knowledge of its falsity or recklessness as to the truth, inducement of the plaintiff to act, and resulting loss. Related causes of action include conversion, knowing receipt and knowing assistance in a breach of trust, unlawful means conspiracy and unjust enrichment. Fraud must be pleaded with particulars under Rule 25.06(8), which requires full particulars of any alleged misrepresentation, fraud, breach of trust, wilful default or undue influence. Pleading fraud loosely invites a motion to strike.
In these matters the first week determines the outcome. Where funds or assets are being moved, the relevant tools are a Mareva injunction to freeze assets, a Norwich order compelling a third party such as a bank to disclose tracing information, a certificate of pending litigation under section 103 of the Courts of Justice Act where an interest in land is genuinely in issue, or the appointment of a receiver under section 101. All of these are obtained on affidavit evidence prepared at speed, and all require a Rule 40.03 undertaking as to damages.
Fraud also affects limitation analysis. Wilful concealment can delay the running of the ultimate limitation period under section 15 of the Limitations Act, 2002, and the discovery analysis under section 5 is fact-specific where the plaintiff was deliberately misled. That does not make the deadline safe to ignore. It means the argument is available where a claim is genuinely late, and it should never be relied on where the claim can be issued on time.
Section 4 of the Limitations Act, 2002 bars a proceeding commenced more than two years after the claim was discovered under section 5, subject to the fifteen-year ultimate period in section 15.
A statement of claim must be served within six months of issuance under Rule 14.08 unless the court extends the time.
A defendant served in Ontario has twenty days to deliver a statement of defence, extendable to thirty by delivering a notice of intent to defend. Failure exposes the defendant to default judgment under Rule 19.
Rule 48.14 requires an action to be set down for trial or otherwise disposed of within five years of commencement, failing which it may be dismissed for delay. Rule 24 allows a defendant to move to dismiss for delay earlier.
Rule 61.04 requires a notice of appeal from a final order to be served within thirty days of the making of the order appealed from. Interlocutory appeals to the Divisional Court require leave under Rule 62.02.
None of these deadlines is a formality. Missing the limitation period ends the claim. Missing the set-down deadline can end a proceeding that has already consumed years of fees. Litigation that is filed and then neglected is worse than litigation that was never started, because the costs have been incurred and the asset has been lost.

Each phase ends in a decision point at which we re-price the case with the information then available. The purpose is to ensure that continuing is always an active choice rather than a default.

Short, and written to be read rather than scrolled past.
This site publishes several hundred pages about Ontario law. They are written carefully, they cite statutes and cases by name, and they are reviewed. None of that makes them advice about your matter. Law is applied to facts, and we do not know yours.
The difference is practical rather than technical. A page explaining that spousal support is usually indefinite after a twenty year marriage is accurate as a general statement and may be wrong about you, because of a domestic contract you signed, a period of separation you have forgotten, or an income that is not what a tax return says it is.
Law also changes. Pages carry a review date where one is relevant. A page reviewed last year may not reflect an amendment made since, and a page about a subject currently before an appellate court may be overtaken between your reading it and your acting on it.
A conflict check must be completed. We act for a great many people and businesses, and we cannot act against a current client or use what we learned from a former one. That check happens before anything else and occasionally means we have to decline.
We must confirm in writing that we are prepared to act. Not every matter is one we can take, and saying so early is better than taking a file we cannot properly serve.
A retainer agreement must be signed. It sets out what we are doing, what we are not doing, who is responsible for what, and how fees work. Until it is signed no relationship exists, whatever has been discussed.
Information sent through a form, or by email, before a retainer is signed is not covered by solicitor client privilege. That is not a policy we chose. It follows from there being no solicitor client relationship for the privilege to attach to.
It can also create a problem for you. If you send us detailed information about a dispute and we are later approached by the other side, what you sent may affect whether we can act for either of you.
So tell us the shape of the problem and leave out the detail: the area of law, roughly when it arose, and whether anything is urgent. That is enough for us to say whether we can help. The documents come after the retainer.
Case results described anywhere on this site are real and are described accurately, and they are specific to their own facts. A settlement at three times the original offer happened because of that employer, that contract and that person’s history. It says nothing about what your matter is worth.

Any referral fee is set out in the Law Society’s standard referral agreement, signed by you before the referral proceeds, and no fee is payable to us unless and until the receiving firm has been paid for its work. You are never obliged to accept a referral and are free to retain any firm you choose. No referral arrangement affects the independent professional judgment of any lawyer at this firm.
