Whether a non-profit can hold a particular grant is usually settled by two documents written years earlier: the articles that state its purposes, and the by-laws that describe how it is governed. Funders read both.

The largest provincial source for community organisations is the Ontario Trillium Foundation, whose Grow Grant intake runs from 7 October to 4 November 2026. Eligibility turns on incorporation, governance and whether the organisation’s stated purposes match the work being funded. Beyond OTF there are federal, municipal and foundation sources, each with its own definition of who may apply. The question to settle first is not which grant to chase but whether your organisation, as currently constituted, can hold one.

A funder assessing a non-profit reads the articles to see what the organisation exists to do, and the by-laws to see how it is governed. Those documents were usually drafted at incorporation, sometimes by a volunteer working from a template, and they may not describe the organisation as it now operates.
The common problems are narrow purposes that do not cover the funded project, purposes so broad that the funder cannot tell whether the project falls inside them, a board that does not meet the funder’s minimum size, and membership classes that no longer reflect who actually votes. Each of those is fixable, and each takes time that a deadline rarely allows.
Incorporating a non-profit in Ontario under the Not-for-Profit Corporations Act, 2010 creates a corporation. Registering as a charity is a separate application to the Charities Directorate of the Canada Revenue Agency, and it is the registration that permits official donation receipts. The two are frequently confused, including by boards who believe they are a charity because they are a non-profit.
It matters for funding because programmes draw the line in different places. Some fund only registered charities, which are qualified donees. Some fund incorporated non-profits regardless of charitable status. A few will fund an unincorporated group only through a charity acting as trustee, which brings its own obligations for the trustee.
The transition period for existing Ontario non-profits to bring their articles and by-laws into conformity with ONCA ended on 18 October 2024. Non-conforming provisions are now deemed amended to comply, which is not the same as the documents being correct, and an organisation applying for significant funding is well advised to know what its governing documents actually say.
OTF is the largest provincial source for community organisations, and at the time of writing its Grow Grant is the stream accepting applications. Grow funds work that already exists and can be shown to work, from $100,000 to $600,000 across two or three years, with between $50,000 and $200,000 in any single year. The window is 7 October to 4 November 2026, closing at 5:00 p.m. Eastern.
OTF’s other community streams have no announced intake at present, and the Youth Opportunities Fund runs on its own criteria and timetable. Confirm the current position with OTF rather than with a summary, because intake dates change without notice and third-party lists are frequently out of date.
Because the windows are short and annual, the work that matters happens between them. An organisation that waits for an intake to open and then begins assembling governance documents, financial statements and board approvals is applying under time pressure it did not need to be under.
Directors of a non-profit owe duties to the corporation, and accepting funding creates obligations the corporation will have to meet. Before an application goes in, the board should be satisfied that the organisation can actually deliver what is being promised, that it can meet the reporting requirements, and that it can absorb the risk of repayment if something goes wrong.
That is not a formality. A board that approves an ambitious application without the capacity to deliver it has committed the organisation to obligations it may not be able to discharge, and the consequences fall on the corporation rather than on the person who wrote the proposal.
Grant money is almost always restricted: it may be used for the funded purpose and nothing else. That restriction is a legal one, not an accounting convention, and it survives changes in the organisation’s priorities. Spending restricted funds on general operations, however pressing the need, is a breach.
Organisations holding several restricted funds at once need to be able to show which money was spent on what. Where a project ends with money unspent, the agreement generally says what happens to it, and the answer is usually that it goes back.
Most disputes between funders and non-profits begin with reporting rather than with money. A report filed late, a report that does not match the approved budget, or a change to the project that was never formally approved are the ordinary starting points for a repayment demand.
Where a demand arrives, there is usually more to say than a board expects, and it is better said promptly. Whether the spending was in fact within the eligible categories, whether the funder approved a variation in correspondence, and whether the amount claimed is correct are all answerable. That is legal work and a lawyer at the firm handles it.
We start with the governing documents, because that is what a funder will read. Where the articles, the by-laws or the board composition would fail an eligibility test, that is the first piece of work. Where they are sound, the work moves to programme fit and the application itself.

Client files are kept for the period the law and the Law Society require, ordinarily seven years after a matter closes, which reflects limitation periods and the possibility of later proceedings. After that they are securely destroyed or anonymised. You may ask for earlier deletion, subject to those obligations.
If you contact us and no retainer follows, what you sent is retained only as long as our conflict records require, then destroyed.

Short, and written to be read rather than scrolled past.
This site publishes several hundred pages about Ontario law. They are written carefully, they cite statutes and cases by name, and they are reviewed. None of that makes them advice about your matter. Law is applied to facts, and we do not know yours.
The difference is practical rather than technical. A page explaining that spousal support is usually indefinite after a twenty year marriage is accurate as a general statement and may be wrong about you, because of a domestic contract you signed, a period of separation you have forgotten, or an income that is not what a tax return says it is.
Law also changes. Pages carry a review date where one is relevant. A page reviewed last year may not reflect an amendment made since, and a page about a subject currently before an appellate court may be overtaken between your reading it and your acting on it.
A conflict check must be completed. We act for a great many people and businesses, and we cannot act against a current client or use what we learned from a former one. That check happens before anything else and occasionally means we have to decline.
We must confirm in writing that we are prepared to act. Not every matter is one we can take, and saying so early is better than taking a file we cannot properly serve.
A retainer agreement must be signed. It sets out what we are doing, what we are not doing, who is responsible for what, and how fees work. Until it is signed no relationship exists, whatever has been discussed.
Information sent through a form, or by email, before a retainer is signed is not covered by solicitor client privilege. That is not a policy we chose. It follows from there being no solicitor client relationship for the privilege to attach to.
It can also create a problem for you. If you send us detailed information about a dispute and we are later approached by the other side, what you sent may affect whether we can act for either of you.
So tell us the shape of the problem and leave out the detail: the area of law, roughly when it arose, and whether anything is urgent. That is enough for us to say whether we can help. The documents come after the retainer.
Case results described anywhere on this site are real and are described accurately, and they are specific to their own facts. A settlement at three times the original offer happened because of that employer, that contract and that person’s history. It says nothing about what your matter is worth.

Each page states the law as at the review date shown on it. Legislation is amended and case law develops. A page accurate when written may no longer be.
These pages describe how a rule usually works. That is not the same as how it applies to your facts. The exceptions are where most real matters live, and a page written for a general reader cannot tell you whether you are inside a rule or inside its exception.
