What powers does the Law Society have to investigate a lawyer?

Two distinct ones, and it is worth keeping them separate. Section 49.2 is a financial audit power, allowing entry during business hours and production of financial records and client files. Section 49.3 is the conduct investigation power, engaged where the Society receives information suggesting professional misconduct or conduct unbecoming, and on a prescribed officer’s reasonable suspicion it permits entry to business premises including former premises, production of any documents including client files, and requiring information from the licensee and from people who work or have worked with them. Section 49.8 is the provision that governs how a licensee should respond. A person required to provide information or produce documents must comply even where the material is privileged or confidential, and it is admissible in proceedings under the Act despite the ordinary rules. Critically, the same section preserves the privilege for all other purposes, so complying does not waive it against anyone else.

Compelled, Admissible, and Still Privileged Elsewhere

This is the provision that determines how the investigation stage should be handled, and it is routinely misunderstood in both directions.

The first half is uncomfortable. A licensee required to produce under the investigation powers must comply even if the material is privileged or confidential, and it is admissible in proceedings under the Act notwithstanding the usual constraints. There is no basis for refusing on privilege grounds, and refusing creates a second, separate problem.

The second half is the protection. The privilege continues for all other purposes. Producing a privileged file to the regulator does not waive it against a civil opponent, a Crown, or anyone else. That is what makes compliance the correct course rather than a capitulation, and it is why a licensee who is also facing a civil claim can generally comply without damaging their position in that claim.

CO-OPERATION

The Allegation That Stands On Its Own

The Tribunal’s rules recognise a distinct category of proceeding for failure to co-operate, framed as a summary hearing alleging a failure to respond promptly and completely to requests made under the audit and investigation powers.

That is the structural point. It is not an aggravating feature of the underlying complaint. It is its own application, on its own footing, capable of producing its own sanction, and it can be established without anyone proving anything about the conduct that started the file.

Across every regulator on this site, failure to co-operate is the most commonly prosecuted breach, and this is the regime where it is most explicitly institutionalised. A licensee who is overwhelmed, unwell or simply avoiding the correspondence turns a defensible matter into two matters, one of which is very difficult to defend.

THE TRIBUNAL

Hearing Division, Appeal Division, Divisional Court

Proceedings are heard by the Law Society Tribunal, which has a Hearing Division and an Appeal Division. The divisions were renamed in 2018 by the same statute that changed the Society’s own name, effective 8 May 2018, although the Society had been operating under the new name from the start of that year.

A conduct application alleges professional misconduct or conduct unbecoming a licensee. Interlocutory suspension is available in appropriate cases, which means a licensee can be out of practice before any finding, and that possibility rather than the eventual outcome is often what needs addressing first.

Unlike several regulators on this site, there is a real appeal route beyond the regulator: from the Appeal Division to the Divisional Court. That changes the calculus at first instance, because the record made at the hearing is capable of being reviewed by a court rather than only by an internal body applying a deferential standard.

DISHONESTY AND NEGLIGENCE

Two Systems That Do Different Jobs

Clients frequently complain to the Society expecting compensation. The regulatory process does not provide it. Where money has been lost through the dishonesty of a licensee, the Compensation Fund is the route, subject to its own criteria and a requirement to give written notice within two years of learning of the loss.

Negligence is a different matter again and is dealt with by a civil claim rather than by the regulator. A licensee facing both should expect them to proceed on separate timetables with separate representation, and should assume that what is said in one may be read in the other.

The sequencing is a decision worth making deliberately. A detailed response to the regulator, drafted without regard to a live or anticipated civil claim, becomes a document in that claim. Section 49.8 protects the privilege in the material produced; it does not protect the positions taken in your own submissions.

Do I have to hand over privileged client files?

Does producing privileged material waive the privilege?

Is there an appeal to a court?

Yes. From the Appeal Division of the Tribunal there is an appeal to the Divisional Court. That is a meaningful difference from several other Ontario regulators, where the internal appeal is the end of the line and only judicial review remains.
